Terms of Service

Read these Terms of Service ("Terms") carefully before using the Skill Mastery platform and services ("Services") operated by Skill Mastery, LLC ("Company," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By using our Services, you confirm that you are at least 18, have authority to enter these Terms, and agree to them.
If you use the Services on behalf of an organization, you represent that you can bind that organization to these Terms.
2. Description of Services
Skill Mastery provides enterprise AI workforce readiness solutions, including:
- AI proficiency assessments for employees and teams
- Structured training programs (Prompting, Automation, Builder skills)
- Corporate dashboards for adoption and competency tracking
- Initiative management, KPI tracking, and departmental reporting
- Live and on-demand AI training and certification programs
We may modify, suspend, or discontinue any part of our Services with reasonable notice.
3. User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Notify us promptly of unauthorized access or security breaches
- Accept responsibility for activities under your account
We may suspend or terminate accounts that violate these Terms or engage in fraud.
4. Payment & Billing
Paid subscriptions require that you:
- Pay all fees described at purchase
- Authorize recurring charges to your designated payment method
- Provide accurate billing and payment information
Fees are non-refundable except as required by law or stated in a separate agreement. We may change pricing with 30 days' advance notice.
5. Intellectual Property
Content, software, trademarks, course materials, assessment frameworks, and other IP on the platform are owned by Skill Mastery, LLC or our licensors.
You receive a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.
You may not copy, modify, distribute, sell, sublicense, or create derivative works without written permission.
6. User Content
You retain ownership of content you submit (e.g., custom assessment questions, workflow descriptions).
By submitting content, you grant us a worldwide, royalty-free license to use, store, and display it solely to provide and improve the Services. You represent that your content does not infringe third-party rights.
7. Prohibited Conduct
You agree not to:
- Use the Services unlawfully or in violation of regulations
- Attempt unauthorized access to systems or networks
- Transmit viruses, malware, or malicious code
- Scrape, crawl, or extract data without authorization
- Reverse engineer, decompile, or disassemble our software
- Impersonate any person or misrepresent your affiliation
- Harass, threaten, or harm other users
8. Privacy Policy
Your use is subject to our Privacy Policy, incorporated by reference. Review it to understand our data practices.
9. Data & Security
We implement industry-standard security measures. No system is completely secure; we cannot guarantee absolute security.
You are responsible for the confidentiality of your login credentials.
For enterprise customers, a separate Data Processing Agreement ("DPA") governs personal data handling and prevails over these Terms where they conflict.
10. Third-Party Services
The platform may integrate third-party services (authentication, payments, analytics). Your use of those services is governed by their terms and policies. We are not responsible for third-party practices.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT.
We do not warrant uninterrupted, error-free operation or freedom from harmful components.
12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SKILL MASTERY, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Skill Mastery, LLC and its officers, directors, employees, and agents from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your infringement of third-party rights.
14. Modifications to Terms
We may update these Terms. For material changes, we will notify you by email or a prominent notice on the platform at least 14 days before the effective date.
Continued use after the effective date constitutes acceptance of the updated Terms.
15. Termination
Either party may terminate with written notice. We may suspend or terminate access immediately for violations of these Terms.
On termination, your license ends and you must stop all use. Provisions that should survive (including payment, IP, disclaimers, and liability limits) survive.
16. Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law rules.
You consent to the exclusive jurisdiction of state and federal courts in Salt Lake County, Utah for disputes under these Terms.
17. Dispute Resolution
Before formal legal action, contact us and attempt to resolve disputes informally for at least 30 days.
If unresolved, disputes shall be settled by binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, in Salt Lake City, Utah. Either party may still seek injunctive or equitable relief for urgent matters.
18. Severability
If any provision is invalid or unenforceable, the remaining provisions remain in full force.
19. Entire Agreement
These Terms, our Privacy Policy, and any separate agreements (e.g., enterprise MSA or DPA) constitute the entire agreement regarding the Services and supersede prior agreements.
